Vice Chancellor J. Travis Laster of the Delaware Court of Chancery has dismissed shareholder claims that nine McDonald’s directors ignored red flags signaling a pattern of sexual harassment and misconduct, stating that, while the way the board handled the situation could be criticized, there’s no proof it acted in bad faith.
The decision is a win for the team of Ross Aronstam & Moritz and Munger, Tolles & Olson attorneys who argued on the director defendants’ behalf that there’s no evidence pointing to the board either inadequately responding to those red flags or acting in self-interest at the company’s expense.
