The New Jersey Appellate Division upheld a motion judge’s ruling that a forum selection provision in defendant electroCore’s initial public offer was valid and enforceable.

The appeals court also held that the defendants did not waive the federal forum selection provision by filing a motion to dismiss for failure to state a claim, when, at the time, forum selection was unenforceable under Delaware law.
