Julian Seiguer's principal areas of practice are corporate finance and securities law, including securities offerings, mergers and acquisitions and general corporate representation. His capital markets experience includes representation of both issuers and underwriters in initial public offerings, as well as public and private offerings of equity and debt securities. Seiguer also works with public and private companies (including private equity funds and their portfolio companies) in connection with mergers, acquisitions, dispositions and strategic investments. Since joining V&E in 2011 and being named partner in 2016, Seiguer has been key to V&E's success in the capital markets space, serving as a go-to adviser representing both issuers and underwriters in initial public offerings, as well as public and private offerings of equity and debt securities. Since Jan. 1, 2016 alone, he has represented either the issuer or the underwriter in more than 30 securities offerings with a transactional value in excess of $17.8 billion, including seven IPOs with a total transactional value in excess of $2.7 billion. Seiguer's notable recent representations include: Parsley Energy Inc. in several transactions: $1.3 billion public offering of Class A common stock; $450 million offering of senior notes; $886 million public offering of Class A common stock; and $650 million offering of senior notes. Also, RSP Permian Inc. in its $585 million public offering of common stock, its $450 million offering of senior notes and its $1 billion public offering of common stock, as well as Underwriters to Antero Midstream Partners LP in its $227 million public offering of common units. His M&As include RSP Permian, Inc. in definitive agreements to acquire Silver Hill Energy Partners LLC and Silver Hill E&P II LLC for $1.25 billion of cash and 31.0 million shares of RSP common stock in aggregate, implying a total purchase price of approximately $2.4 billion; Vantage Energy LLC and Vantage Energy II LLC (collectively, Vantage Energy) in a purchase and sale agreement with Rice Energy Inc., under which Rice Energy acquired Vantage Energy for approximately $2.7 billion, including the assumption of debt.

J. Brugh Lower of Gibbons has entered an appearance for industrial equipment supplier Devco Corporation in a pending trademark infringement lawsuit. The suit, accusing the defendant of selling knock-off Graco products, was filed Dec. 18 in New Jersey District Court by Rivkin Radler on behalf of Graco Inc. and Graco Minnesota. The case, assigned to U.S. District Judge Zahid N. Quraishi, is 3:24-cv-11294, Graco Inc. et al v. Devco Corporation.

Yalowitz of Arnold & Porter Kaye Scholer have entered their appearances for Hanaco Venture Capital and its executives, Lior Prosor and David Frankel, in a pending securities lawsuit. The action, filed on Dec. 24 in New York Southern District Court by Zell, Aron & Co. on behalf of Goldeneye Advisors, accuses the defendants of negligently and fraudulently managing the plaintiff's $1 million investment. Attorneys from A&O Shearman has stepped in as defense counsel for Toronto-Dominion Bank and other defendants in a pending securities class action. The suit, filed Dec. 11 in New York Southern District Court by Bleichmar Fonti & Auld, accuses the defendants of concealing the bank's 'pervasive' deficiencies in regards to its compliance with the Bank Secrecy Act and the quality of its anti-money laundering controls. Crown Castle International, a Pennsylvania company providing shared communications infrastructure, has turned to Luke D. Wolf of Gordon Rees Scully Mansukhani to fend off a pending breach-of-contract lawsuit. The court action, filed Nov. 25 in Michigan Eastern District Court by Hooper Hathaway PC on behalf of The Town Residences LLC, accuses Crown Castle of failing to transfer approximately $30,000 in utility payments from T-Mobile in breach of a roof-top lease and assignment agreement. Wilfred P. Coronato and Daniel M. Schwartz of McCarter & English have stepped in as defense counsel to Electrolux Home Products Inc. in a pending product liability lawsuit. The court action, filed Nov. 26 in New York Eastern District Court by Poulos Lopiccolo PC and Nagel Rice LLP on behalf of David Stern, alleges that the defendant's refrigerators’ drawers and shelving repeatedly break and fall apart within months after purchase.
