SAN FRANCISCO — Jones Day represented San Jose-based Atmel Corp. in its $3.56 billion sale to Microchip Technology Inc. The deal, announced Wednesday, derails a previous agreement between Atmel and Dialog Semiconductor PLC, in which Atmel agreed to a purchase price of $4.6 billion. Though the dollar amount was initially grander, the purchase price negotiated by Dialog included a sizable component of Dialog stock, which has traded down nearly 40 percent in the past four months.

Chandler, Arizona-based Microchip, represented by Wilson Sonsini Goodrich & Rosati, was the next highest bidder.
