Freshfields Bruckhaus Deringer and Clayton Utz are advising Chinese baby food maker Biostime International Holdings Ltd. on a proposed $995 million acquisition of Australian vitamins and health supplements company Swisse Wellness Pty Ltd.

Biostime, which is headquartered in Guangzhou and trades on the Hong Kong stock exchange, is buying 83 percent of Melbourne-based Swisse Wellness through a mix of cash and shares. The deal is expected to close by the end of the month.

In a statement, Biostime said it was looking for ways to expand beyond its current portfolio of pediatric nutritional and baby care products and into the family nutrition sector.
