Swedish electronics manufacturer Ericsson, Inc. has agreed to sell to Sony Corp. its half of the ten-year-old Sony Ericsson Mobile Communications joint venture for $1.5 billion in cash. Tokyo-based Sony will turn the mobile phone maker into a wholly owned subsidiary. The acquisition, which is subject to regulatory approvals, is expected to close in January 2012. Cleary Gottlieb Steen & Hamilton corporate partner Christopher Austin is representing Sony. Slaughter and May is acting for Ericsson on the deal with a team led by London partner Jeff Twentyman. Allens Arthur Robinson and Mallesons Stephen Jaques are advising on a $1.2 billion loan package to further expand facilities at Perth Airport. The financing for Perth Airports Development Group, provided by a syndicate of nine banks, will include a $937 million revolving term loan of up to seven years, a $15 million working capital facility and a $307 million banking facility that will be used to backstop a future capital markets securities issue. Allens Arthur partner Richard Gordon is advising the lenders; Perth Airports has turned to Mallesons for counsel.
