Tokyo-based refiner TonenGeneral Sekiyu K.K. has appointed Nishimura & Asahi to advise on its $3.9 billion purchase of a 99-percent stake in Exxon Mobil Corp.’s Japanese arm. TonenGeneral was formed more than a decade ago through the merger of Exxon Mobil affiliates Tonen and General Sekiyu. The deal will allow Exxon Mobil to focus on its core activities of oil exploration and development. Hogan Lovells‘ co-CEO Warren Gorrell, and corporate partners Waajid Siddiqui and Elizabeth Donley are advising Exxon Mobil. China/Hong Kong

Freshfields Bruckhaus Deringer and Allen & Overy are advising on the $1.7 billion acquisition of the Orange mobile phone network in Austria by Hong Kong’s Hutchison Whampoa Ltd. Orange is 65-percent owned by private equity house Mid Europa Partners, while Paris-based France Télécom S.A. owns the remaining interest. Following the sale, which is pending regulatory approvals, Hutchison will sell some of Orange Austria’s assets to A1 Telekom Austria A.G. for $513 million in a linked transaction. Freshfields Vienna partners Bertram Burtscher and Konrad Gröller are advising Hutchison. Mid Europa Partners has turned to Allen & Overy partners Philipp Wahl and Antonio Bavasso in London, and Dorda Brugger Jordis partners Stephan Polster and Martin Brodey in Vienna. Austria’s Schönherr is acting for France Télécom with a team led by Vienna partner Florian Cvak. A1 Telekom Austria has appointed Cerha Hempel Spiegelfeld Hlawati partner Albert Birkner as counsel.
