Sullivan & Cromwell and Allen & Overy are acting for Australian iron ore miner Fortescue Metals Group Ltd. on a $2 billion bond issue. The offering, made via a Fortescue subsidiary, comprises a five-year tranche and a 10-year tranche, each raising $1 billion. The securities, which are being offered globally under Rule 144A/Regulation S, will fund the company’s mining operation Western Australia and the acquisition of new mining equipment. New York partner John Estes is leading Sullivan & Cromwell’s team advising Fortescue, with support from lawyers in the firm’s Melbourne office. Allen & Overy Perth partner Peter Wilkes is also providing issuer’s counsel. Holding Redlich is representing Australian property fund ISPT on its $366 million acquisition of a 50-percent stake in the Myer Centre, a shopping mall in Brisbane. Partners Michael Byrom in Brisbane and Helen Scott in Melbourne are advising on the deal, which is Australia’s largest property transaction so far this year, according to King & Wood Mallesons, which is advising CFS Retail Property Trust as the seller. King & Wood Mallesons’ team is led by Melbourne property partner Andrew Erikson. The property manager, Colonial First State, will continue to manage the Myer Centre after the sale. Colonial is using in-house counsel in the deal.
