Indonesian state-owned oil and gas company PT Pertamina has raised $2.5 billion from the sale of bonds on the Singapore Exchange. The senior unsecured bonds were offered in two $1.25 billion tranches, a 10-year issue bearing a 4.9 percent coupon and a 30-year issue yielding 6.1 percent. Latham & Watkins Singapore partners Michael Sturrock and Clarinda Tjia-Dharmadi advised the issuer on U.S. law, while partner Emir Nurmansyah of Jakarta-based Ali Budiardjo, Nugroho, Reksodiputro acted as Indonesian counsel. The Hongkong Shanghai Banking Corp. Freehills and Sidley Austin have advised Sydney electrical utility AGL Energy Ltd. on an $877 million stock offering on the Australian Securities Exchange. The issue will partly fund AGL’s $476 million acquisition of Great Energy Alliance Corp. Pty. Ltd., a Melbourne-based electricity distributor. Proceeds from the issue will also help AGL repay loans and fund general corporate expenses. AGL Energy was advised by Freehills Sydney partner Philippa Stone and Sidley Austin Sydney partner Robert Meyers on Australian and U.S. law, respectively. King & Wood Mallesons partners David Eliakim and David Friedlander acted for the underwriters — Citigroup Global Markets Australia Pty Ltd. and Deutsche Bank AG.
 
Melbourne-based Centro Properties Group has sold a 50 percent stake in three of its shopping centers to Perth billionaire Stan Perron for $690 million. Perron Investments Group will take half shares in Centro properties in Perth, Adelaide, and Melbourne. Proceeds of the sales will help Centro restructure its $2 billion debt load so it can continue to develop other projects. Perron Investments was advised by King & Wood Mallesons real estate partner Simone Menz. Centro engaged Freehills for legal advice and the firm’s team was led by partners Michael Back and David Sinn.
 
Linyi Mining Group Ltd., a subsidiary of Shandong Energy Group Co. Ltd., has agreed to make a $206 million takeover offer for Rocklands Richfield Ltd., an Australian coking coal mining company. Shareholders have approved the bid, which remains subject to regulatory approval. Norton Rose partner James Stewart acted as advisor to state-owned Shandong Energy. Minter Ellison Melbourne partners Matthew Hibbins and Alberto Colla advised Rocklands.
 
Melbourne-based Healthscope Group, owned by TPG Capital and the Carlyle Group, has agreed to sell its pathology business in Sydney and Queensland to Sydney-based medical diagnostics company Sonic Healthcare Ltd. for $100 million. The deal is subject to regulatory approvals. Allens partner Cameron Price advised Healthscope.

Jones Day has advised Singapore sovereign wealth fund Temasek Holdings and private equity firm RRJ Capital on a $468 million joint investment in Houston-based Cheniere Energy Inc., a liquefied natural gas provider. Cheniere, advised by Houston law firm Andrews Kurth, has received regulatory approval to build a LNG export plant in Louisiana. The investment will fund the construction of the plant. The Jones Day team was led by Singapore partner Joseph Bauerschmidt.
 
Theta Capital Pte. Ltd., a unit of Indonesia property develop PT Lippo Karawaci Tbk., has issued $150 million worth of senior notes on the Singapore Exchange. Proceeds will be used to develop new retail malls and hospitals. Milbank, Tweed, Hadley & McCloy advised Theta on English law and Jakarta-based Makes & Partners advised on Indonesian law. Partner Yap Wai Ming of Singapore firm Stamford Law Corp. advised the issuer on Singapore law, along with Allen & Gledhill, which provided local tax law advice. Shearman & Sterling and Indonesian law firm Melli Darsa & Co. advised underwriters Citigroup Inc. and Deutsche Bank Securities Inc.

Karaikal Port Private Ltd., a subsidiary of Chennai-based port constructor Marg Ltd., has received a $40 million private equity investment from Nylim Jacob Ballas India Fund, a subsidiary of Jacob Ballas Capital India Pte. Ltd. The deal will give Nylim a minority stake in the Karaikal Port and help Karaikal with its expansion plans. Khaitan & Co. partner Vaishali Sharma advised Nylim and Wadia Ghandy partner Amit Manubarwala advised Jacob Ballas. AZB & Partners Bangalore Partner Srinath Dasari advised Karaikal Port.
 
Spanish brewery Mahou S.A. has invested $20 million in India’s Arian Breweries & Distilleries Ltd. The investment will give Mahou a 50 percent stake in the family-owned beer manufacturer. Clifford Chance acted as international counsel for Mahou, while Amarchand Mangaldas & Suresh A. Shroff & Co. partners Raghubir Menon and Ekta Gupta advised on Indian law.
