Toronto-based private equity firm Onex Corporation announced over the weekend that it has agreed to acquire USI Insurance Services from GS Capital Partners, the private equity arm of Goldman Sachs Group, in a deal valued at $2.3 billion.
Kaye Scholer is representing Onex in connection with the deal. The company, which has invested in a wide range of industries in both Canada and the United States, is a longtime firm client. Kaye Scholer’s past work for Onex included advising the company in 2010 when it agreed to pay $384 million to acquire a remaining 75 percent stake that it didn’t already own in ResCare, a provider of home care services, and last year when it sold Emergency Medical Services Corporation to Clayton, Dubilier & Rice for $3.2 billion.
