How General Counsel Are Working With Their Boards to Bring Value to the Business

Lisa Edwards is President and Chief Operating Officer of Diligent Corporation, the leader in modern governance providing SaaS solutions across governance, risk, compliance and ESG with more than $500 million in revenue and a $7 billion company valuation. Lisa assumed the role in September 2020 and is responsible for commercial growth and performance, including global sales, marketing, customer success, and 24/7/365 worldwide support.

Lisa previously served as EVP of Strategic Business Operations at Salesforce after running Global Corporate Services (GCS) and serving as CPO. Prior to Salesforce, Lisa led global strategic partnerships for Visa, Inc. as SVP/Head of Global Strategic Alliances and Global IP Strategy and earlier served in an operations role as Head of Global Corporate Services. Earlier in her career, Lisa served as CEO of KnowledgeX, a database startup which she led in a sale to IBM and co-founded Valubond, an online fixed income exchange and subscription service, and served as President, COO, and head of the ATS (Alternative Trading System) prior to its acquisition by Knight Capital.

Lisa serves on the Board of Directors of Colgate-Palmolive. She holds a MBA from Harvard Business School and a BA from Stanford University.

Michael W. Peregrine represents corporations (and their officers and directors) in connection with the full range of governance and fiduciary duty matters, officer-director liability issues, charitable trust law and corporate structure.

Michael is recognized as one of the leading national practitioners in corporate governance law. As a regular contributor to the Corporate Counsel daily newsletter, his articles explore the important role in-house counsel play in relation to the board. He is also a senior contributor to Forbes.com where his articles focus on governance and leadership topics.

Michael advises on matters related to board conduct such as composition and culture, risk oversight, executive and board leadership/succession, board performance evaluations and assessments; and intra-board conflict and dysfunction. He is often called upon to advise boards in response to external/regulatory challenges to governance. He frequently serves as special counsel in connection with confidential internal board reviews and investigations.

Ms. Murphy serves Hackensack Meridian Health as Executive Vice President, Co-Chief Legal Officer, and Chief Officer, Team Member Health and Safety. She previously served as the Executive Vice President, Chief Legal Officer at Hackensack University Medical Center and Hackensack University Health Network.

In her role as Co-Chief Legal Officer, her direct network responsibilities include the Enterprise Risk Management Program, the Physician Enterprise, the regional CTS programs, the Foundations, all academic programs, including the School of Medicine, the vast insurance programs and captives, Research, and the Center for Discovery and Innovation and all non-strategic litigation. As Chief Officer, Team Member Health and Safety, Ms. Murphy is responsible for Workplace Health and Safety, The Keeping America Safe Program, Corporate Wellness, Network Environmental Safety, Network Security, and Emergency Management.
