Description

Under Chair Gensler’s administration, the Securities and Exchange Commission (SEC) has recently adopted amendments to three executive compensation rules related to the recovery of erroneously awarded compensation (so-called “clawback”), executive trading under Rule 10b5-1 plans, and pay versus performance. Among other requirements, these rules create new disclosure requirements for public companies.
