A decade-long in-house lawyer at one of the nation's largest health insurers has been promoted to general counsel.
Louisville, Kentucky-based Humana has announced that Joseph Ventura will succeed a retiring Christopher Todoroff. Ventura joined Humana as legal counsel in 2009, serving most recently as senior vice president, associate GC and corporate secretary, according to a statement announcing his promotion. During his 10 years in-house at Humana, Ventura has led the legal department's corporate group and worked on the deal to acquire Concentra Inc. in late 2010.
“Joe is a seasoned corporate and M&A legal strategist whose central involvement in our strategic acquisitions has afforded him a broad enterprise view of Humana's business, including strategic litigation, enterprise risk issues, and a broad range of regulatory and public affairs matters,” Humana president and CEO Bruce Broussard said in a press release. “His ability to communicate and collaborate effectively across the organization has made him a highly sought advisor by the senior leadership team.”
Prior to joining Humana, Ventura was an associate in the New York office of Alston & Bird and concentrated his practice in securities regulation and compliance, mergers and acquisitions, including domestic/cross-border and public/private business combinations, as well as Sarbanes-Oxley and other corporate governance matters.
In his new role at Humana, Ventura will serve on the company's management team. He will work with Todoroff, Humana's GC and chief legal officer for the past 10 years, over the next few months during which Todoroff will serve as special counsel to the company to ensure a smooth transition. Ventura and Todoroff could not be immediately reached for comment.
Ventura's promotion is one of two “key strategic leadership appointments in anticipation of upcoming transitions,” Humana said in the press release. The health insurer also named Douglas Stoss interim lead for its Office of Corporate Affairs.
Ventura earned his law degree from the University of Virginia School of Law.
