Phillips 66 legal chief Vanessa Allen Sutherland got a splash of extra octane in her compensation during her first year on the job: $3 million in stock to replace equity she forfeited by leaving Norfolk Southern.

Sutherland received the so-called ”make whole” equity grant when she joined Phillips 66 in January 2022. Including that $3 million, she received equity grants for all of 2022 totaling $5.4 million. That combined with her salary of $718,759, non-equity incentive compensation of $1 million and $600,100 in option awards brought her total 2022 compensation to $7.8 million
