Today’s general counsel wears a lot of hats within a company—from trusted legal adviser to the C-suite and manager of outside counsel to backstop for compliance problems. For many legal department heads, not the least of these is their role as corporate secretary.

The 2013 General Counsel Forum, held at the New York Stock Exchange on Nov. 7, gave general counsel ample opportunity to chat about their work with boards of directors. One panel at the event hosted by NYSE Euronext and Corporate Board Member, “The GC’s Role in Corporate Governance,” brought together two current general counsel and corporate secretaries, and one law firm shareholder who used to hold these roles, in order to discuss best practices for GCs and boards.
