There’s a lesson somewhere in the looming failure of the American manufacturer Cooper Tire & Rubber Co.’s $2.3 billion merger with Apollo Tyres Ltd., but the world may never learn it.

The terms of the merger, set in June, compel India-based Apollo to acquire Cooper before Dec. 31 or the deal is off, according to Sumeet Chatterjee for Reuters. But Apollo has hit a wall in negotiations with labor unions at Cooper plants in the U.S., pulling share prices down and giving Apollo incentive to wait it out until the contract expires.
