After three years as a financial executive, Anthony Crisci is returning to the in-house legal world and taking on new responsibilities at Generex Biotechnology Corp.

Crisci is the new general manager, chief compliance officer and corporate counsel at the Miramar-based company taking a specialized approach to pharmaceuticals.

Founded in 1997, Generex primarily researches and develops drug delivery systems, including a hand-held aerosol pump that sprays large-molecule drugs, such as insulin, into the mouth, according to its latest quarterly filing with the Securities and Exchange Commission.

Generex subsidiary NuGenerex Distribution Solutions is acquiring eight retail pharmacies, a wholesale pharmacy and a laboratory from Dallas-based Veneto Holdings LLC in a two-part, $30 million deal, according to an Oct. 9 SEC filing. Eckert Semans Cherin & Mellott is serving as legal counsel to Generex on the purchase.

The first part of the transaction closed Oct. 3, and the final segment was due to close within 30 days.

Veneto had unaudited revenue of more than $66 million in the past year operating in three states. Generex plans to scale up to operate in 30 states.

In his new role, Crisci will oversee NuGenerex's distribution and lead the company in building an “end-to-end solution” for pharmacy and health management services, according to a statement announcing his appointment.

He also will advise on company strategy, including mergers and acquisitions, joint venture, development, in- and out-licensing agreements as well as long-term national supply and distributorship agreements for pharmacy, laboratory and medical management services, the announcement said.

Crisci, who is a certified public accountant, was chief financial officer at New York-based Global Arena Holding Inc., an election services company, since 2015 and prior to that was associate GC at Health Quest. He also served as assistant vice president in the national tax and ERISA practice at consulting firm Aon, was a tax associate at PwC, a staff accountant at Cantor Fitzgerald and spent 11 years providing corporate and financial advice to startup companies.

Crisci was not immediately available for comment. It was unclear whether he is the company's first top lawyer.

In the company statement, Generex COO Terry Thompson said that, in addition to legal matters, Crisci will oversee business and accounting operations.

“With his experience and extensive background in corporate affairs, Anthony will implement the corporate strategy to build a next-generation life sciences company focused on delivery of end-to-end patient solutions,” Thompson said. “His unwavering focus on building successful healthcare businesses while maintaining strict legal and regulatory compliance will be essential for our ongoing success.”
