A South Florida registered agent company is poised for growth after becoming part of an Australia-based giant that provides a suite of corporate services internationally that help companies meet  regulatory requirements.

Corporate Creations Enterprises LLC was acquired by Computershare Ltd., which is traded publicly on the Australian stock exchange, for $142 million March 2. Corporate Creations now is part of Computershare's governance services division.

The two companies had an existing relationship as Computershare previously partnered with Corporate Creations to provide registered agent and other compliance services to Computershare clients, said Andrew Moore, Computershare governance services president.

Moore will mainly work at Corporate Creations' existing North Palm Beach headquarters at 801 U.S. 1.

"We just got to the point where we liked the way things were going. Very cliche. We liked them so much we bought the company," Moore said.

Computershare has done some hiring and plans more.

"We are expanding that facility. The actual office has capacity for about 50% increase in staff," Moore said.

Corporate Creations, founded in 1993, is the third-largest registered agent and compliance service provider in the U.S. for Fortune 1000, Global 2000 and private companies, according to its website. It also works on behalf of law firms, including Am Law 200 and NLJ 250 law firms, and their clients.

"We are confident we can continue to service the Florida legal community and entrepreneur community," Moore said.

Corporate Creations has more than 14,000 clients nationally and a strong line of work in Florida that is second only to its business in Delaware, the top incorporation state in part because it allows companies more privacy in filings. Florida companies register with the state Division of Corporations and submit annual reports listing a registered agent, company managers and their addresses.

"You want an address that is constantly manned, professionally manned to receive" records, Moore said. "You typically have an agent to do that for you who is experienced and knows what to do. There are other compliance functions as part of that registration."

Computershare will keep Corporate Creations' brand, website and existing employees, but its founders have retired.

Computershare, based in Melbourne, was founded in 1978 and is a stock transfer company providing services covering loans, employee equity plans, proxy solicitation, share registration, stakeholder communications, bankruptcy, corporate trust and class actions, according to its website. Its businesses include Computershare Loan Services, Georgeson Issuer Services, Employee Plan Administration and Computershare Governance Services.

The company helps others around the world comply with government regulations. In the U.S., its work includes state and Securities and Exchange Commission compliance for publicly traded companies. It also takes companies through filings for initial public offerings.

"We help manage key client processes for small and large-sized companies for managing their stock, managing their plans, their governance and compliance needs. Essentially these are kind of repetitive tasks that they like to outsource so they can focus on their core function of running their business," Moore said. "We help keep their company compliant, meaning that their stock obligations, their dividend payments and in this case keeping their entities and all the related compliance activities in good standing."

The transaction included going through regulatory hurdles because of the companies' market concentration.
