Office Depot, the second-largest office-supply retailer, said it reached a proposed settlement with the Securities and Exchange Commission over allegations it improperly communicated with analysts.

In a filing late Friday, Boca Raton-based Office Depot (NYSE: ODP) said it will pay a civil penalty and consented to a cease and desist order. It said it agreed to the settlement without admitting or denying wrongdoing.
