Benihana Inc., the largest operator of Japanese-themed and sushi restaurants in the United States, was sued over its $296 million deal to be taken private by Angelo, Gordon & Co.

The buyout offer of $16.30 a share undervalues the restaurant chain and gives unfair advantages to executives, argues investor IBEW Local Union 98 Pension Fund in a complaint filed yesterday in Delaware Chancery Court.
