At the very end of this year’s session, the Florida Legislature passed a law that should make Florida limited liability companies more attractive for business owners. It’s the Florida Revised Limited Liability Act — a complete rewrite of the Florida LLC Act.

The change means that businesses operating in Florida or intending to do so may want to consult with counsel about whether to use an LLC or, if they are already using an LLC, whether they should alter their operating agreements. Similarly, third parties doing business with Florida LLCs may want to consider making changes to their contractual business arrangements.
