On Nov. 9, Bernstein Litowitz Berger & Grossmann partner Greg Varallo moderated the “Developments on Delaware’s Entire Fairness Doctrine” panel at the American College of Governance Counsel.

This roundtable discussion explored three post-trial decisions issued by the Delaware Court of Chancery during the last year, each under the entire fairness standard. Panelists were asked to consider the implications of these decisions for future entire fairness cases, as well as for counselors working with controlled company boards or committees.
