One of Delaware's two main demand futility tests should no longer stand on its own, Delaware Supreme Court Justice Tamika Montgomery-Reeves wrote Thursday.

While Facebook's attorneys can breathe a sigh of relief over not being sent back to the Court of Chancery to resume the shareholder litigation that was appealed to the state's highest court, the decision has the much broader effect of funneling all questions of demand futility through a single three-part test, rather than having to determine on a case-by-case basis whether the long-standing Aronson or Rales tests should apply.
