The Delaware Court of Chancery dismissed a purported derivative suit against Wayfair Inc., several of its board members and several investment companies on the grounds that the plaintiff failed to justify its decision not to make a pre-suit demand.

Vice Chancellor Sam Glasscock III found that the plaintiff did not demonstrate that the defendants acted in bad faith when they approved a debt issuance transaction, giving the defendants cause to dismiss the suit.
