Two halves of Aerojet Rocketdyne Holdings’ board took a proxy fight to the Court of Chancery after a company press release disclosed an internal investigation into one director.

Each group of four directors have filed suit against the other, with one side pointing to what it says is a self-interested boardroom coup and the other accusing the first of misallocating company resources to undercut a proxy contest.
