Vice Chancellor J. Travis Laster of the Delaware Court of Chancery has dismissed shareholder claims that nine McDonald's directors ignored red flags signaling a pattern of sexual harassment and misconduct, stating that, while the way the board handled the situation could be criticized, there's no proof it acted in bad faith.
