Shareholders are asking the Court of Chancery to decide whether they get a say in whether TripAdvisor’s incorporation moves from Delaware to Nevada, claiming they’re being shut out of a decision that affects their litigation rights.

Bernstein Litowitz Berger & Grossmann, Block & Leviton and Kaskela Law are representing the shareholders of TripAdvisor Inc. and Liberty TripAdvisor Holdings Inc., claiming the chairman of both is aiming to force the switch through to take advantage of the Nevada law that gives officers and directors significantly more protection from being found liable for breaches of fiduciary duty than Delaware does.
