Jenzabar, which provides enterprise software for colleges and universities, and director Ling Chai Maginn were sued by co-director D. Quinn Mills on Oct. 23 in Delaware Court of Chancery. The suit, filed by Bayer PA, accuses Maginn of refusing to step down as CEO after the plaintiff and co-director Robert A. Maginn Jr., the defendant's former spouse, voted to remove her and appoint the plaintiff as interim CEO; according to the complaint, the defendant has instructed employees to refrain from recognizing the plaintiff as interim CEO. The plaintiff seeks a declaration that the plaintiff and Maginn Jr.'s actions were valid. Counsel have not yet appeared for the defendants. The case is 2023-1071, Mills v Maginn et al.
