A Paramount shareholder has filed a Delaware Court of Chancery suit challenging the entertainment company’s impending merger with Skydance Media, claiming the deal is designed to create a windfall for director and chair Shari Redstone while shortchanging plaintiffs.

The complaint filed Wednesday by Berger Montague claims the dealmaking process was unfair, with a lack of director independence and no opportunity for minority shareholders to vote on the merger, which is expected to close in 2025.
