The Delaware Superior Court has ruled that a corporate officer is not personally liable if he acts on the company’s behalf and only the Chancery Court has the jurisdiction to pierce the corporate veil. Judge Mary Johnston issued the ruling last month, after hearing a dispute between Citadel Engineering and American Aerospace Corp.

Citadel Engineering is an Ellendale, Del., firm led by Jeffrey Reed, an engineer who is also employed by the Delaware Department of Transportation. It was represented by Tunnell & Raysor. Meanwhile, American Aersopace, which operates out of Georgetown, Del., is led by Robert Patterson, a flight instructor and aircraft repairman. Richard Berl of Smith O’Donnell Feinberg & Berl, represented American Aerospace.
