Vice Chancellor John W. Noble has granted class action status to a group of Lawson Software shareholders, including Steamfitters Local No. 449 Retirement Security Fund and individual investor Sanjay Israni, which is seeking to block the $1.8 billion acquisition of the company by GGC Software Holdings, an affiliate of Golden Gate Capital, and Infor Global Solutions.
Noble ruled the plaintiffs could be certified as a class under Court of Chancery Rule 23(a). The rule requires a showing of numersoity, commonality, typicality and adequacy of representation before class certification is established.
