Delaware Chancery Court Chancellor Leo E. Strine Jr. ruled that managers of limited liability companies owe the LLCs’ members the same default fiduciary duties as heads of traditional equity groups if the LLC agreement is silent on such matters.
The chancellor issued the ruling in a 75-page opinion issued Jan. 27 inAuriga Capital Corp. v. Gatz Properties .
