The Delaware Court of Chancery has declined to enjoin Vista Equity Partners L.P.’s $4.2 billion acquisition of Tibco Software because the transaction’s overall equity value was initially based on an inaccurate number of Tibco shares.
In refusing to halt the merger, the court said the plaintiffs offered no evidence that the inaccurate share count caused the transaction to differ from the merger agreement.
