A Delaware corporation seeking a declaratory judgment in a valuation case in an Illinois court must advance a defendant manager costs based on the terms of an operating agreement, the Court of Chancery has ruled.

On May 29, 2015, the company, RED Parent, filed suit in Illinois alleging George Polk, a manager and investment committee member, tried “to conduct a valuation that is in contravention of the clear terms of the operating agreement.”
