The Delaware Court of Chancery ruled Tuesday that a Nutrisystem Inc. bylaw requiring a two-thirds supermajority shareholder vote to remove directors was a clear violation of Delaware corporate law.
Vice Chancellor Sam Glasscock III said the Fort Washington, Pennsylvania-based nutrition company’s bylaw was fundamentally opposed to Delaware corporate law, which requires only a simple majority of shares to be voted in favor of a board member’s ouster.
