TRW, the US steering systems and spacecraft manufacturer, was represented by Allen & Overy's Alan Paul in its agreement to buy LucasVarity for £4.2bn last week. Julian Francis of Freshfields led the team that represented LucasVarity (see back page).
Travers Smith Braithwaite's Simon Jay acted for Greenalls Group on the sale of Inn Partnership, its franchised and tenanted pub estate, to Tudor Street Acquisitions for £370m. Tudor was represented by Clifford Chance's David Pearson on the corporate side and represented by Gosschalks' Dick Llewellyn on the property side.
Howard Kennedy acted for Friendly Hotels on its acquisition of seven hotels from Lyric Hotels for £23m. Michael Harris and Paul Springall led the team. Lyric was represented by Joelson Wilson & Co's Sheldon Cordel and Paul Baglee.
Brough Skerrett acted for Aberdeen Underwriting, a leading member agency at Lloyds, in the sale of its business to Hampden Agencies for £400,000. Phillip Skerrett led the team and was assisted by Ruth Hatt. In-house lawyer, Charles Camroux-Oliver and Anthony Rose of Anthony Rose & Co advised
Hampden.
Allen & Overy acted for Carlisle Holdings, in its bid for Abacus, the recruitment agents, for £17m. Keith Godfrey and Mark Gearing led the team. Cameron McKenna's Michael Drader acted for Abacus.
Rowe & Maw acted for Waste Recycling, which completed its merger with Yorkshire Environmental Global Waste Management last week. Waste Recycling also intends to exercise an option to buy 3C Waste for £120m. Stephen Bottomley and Hugh Devas led the team. Norton Rose's Laurence Levy acted for Yorkshire Water. The total value of the deal on completion, expected to be April, is about £500m.
Nabarro Nathanson acted for Euromoney Publications on its acquisition of Internet Securities, a US-based company. Gareth Jones led the team. Teckham Lobel Casey Prince & Tye advised on US law. Sidley & Austin advised sellers DLJ, the management team and Internet Securities.
Marian Derham led a team from Harbottle & Lewis, which advised Chrysalis Holdings, media and broadcasting, on its acquisition of Bentley Productions. Rodger Holmes of Edmonds Bowen acted for Bentley in the deal valued at £5.99m.
Norton Rose advised Yorkshire Water on its recommended cash offer for York Waterworks. Jonathan Coppin and Richard Sheen led the team. Robin Johnson and Zoe Williams of Eversheds advised York Waterworks, which is valued at £33.8m.
Shepherd & Wedderburn's Sue Inglis and Iain Meiklejohn advised Friends Ivory & Sime on the purchase of the investment and property management subsidiaries from Friends Provident Life for £35m. The consideration will take the form of ordinary shares and a subordinated loan. Andrew Mitchell of Norton Rose advised Friends' Provident.
Edge Ellison, led by Mark Povey and Nicholas Allen acted for WPP advertising, which acquired 50% of German design company Windi Winderlich. WPP has bagged accounts including DaimlerChrysler, British Aerospace and Unilever. German firm Bose Coch Gorsler Nesselhof Moerchen, led by Dr Michael Leue represented Winderlich. The maximum consideration was not disclosed.
Eversheds Leeds, led by Robin Johnson, acted for Readicut International, the household goods and textiles company, in its acquisition of Chamberlain Coatings. Readicut paid £13.25m. Wragge & Co's Julian Henwood and Andrew Platt represented Chamberlain.
