CORPORATE
Travers Smith corporate partner Phil Sanderson has advised Exponent Private Equity on its acquisition of Cardsave Holdings from a consortium of shareholders including RJD Partners, Morley Fund Management and Lloyds Development Capital. DLA Piper corporate partner Jim Lavery (pictured) advised RJD and Wragge & Co advised the existing management.
AIM
Kirkpatrick & Lockhart Preston Gates Ellis has counselled new client Seymour Pierce as nominated adviser and broker to Et-china.com International Holdings on its £42m admission to the Alternative Investment Market (AIM). Corporate partner Owen Waft led the transaction. Et-china.com was advised by Denton Wilde Sapte corporate partner Jeremy Cohen. The issuer also instructed Morrison & Foerster to handle Hong Kong legal issues.
Joelson Wilson & Co has advised Cwmbran-based ice cream manufacturer Hill Station, which raised £3.3m on its secondary AIM listing. Corporate head Sheldon Cordell led the team. Finers Stephens Innocent corporate partner Sara Wax advised City Financial Associates and JM Finn Capital Markets respectively.
FINANCE
Herbert Smith and Cuatrecasas have advised Spanish industrial equipment and machinery rental group General de Alquiler de Maquinaria on its €125m (£85m) issue of convertible bonds. The notes have been placed with institutional investors by joint bookrunners Credit Suisse and Morgan Stanley, advised by Linklaters partners Conrado Tenaglia and Inigo Berricano (pictured).
PROPERTY
DLA Piper has advised AIM and the Symmetry Fund on the funding and purchase of the Arena Plaza shopping and entertainment centre in Hungary in a €400m (£271m) transaction. The vendor, Plaza Centres, was represented by White & Case in Budapest. A senior debt facility was provided by MKB, which instructed Baker & McKenzie in Budapest.
Trowers & Hamlins has advised Morley Fund Management on the £101m purchase of 27 Knightsbridge, fielding a team under commercial property partner Philip Peters. Kirkpatrick & Lockhart Preston Gates Ellis real estate partners Wayne Smith and Chris Major advised the vendor, Henderson Central London Office Fund.
CMS Cameron McKenna real estate partner Nick Brown (pictured above left) has advised property group RREEF on its acquisition of Saxon Square shopping centre in Christchurch, Dorset. The 103,000 sq ft site was acquired from London & Associated Properties for £20.5m. Charles Russell real estate partner Amanda Crowe advised London & Associated.
Olswang has acted for Delancey and other investors on the £325m sale of MidCity Place, High Holborn, to MidCity Place Holdings, a fund managed by Beacon Capital Partners London. Corporate partner Paul Blackmore (pictured right) led the team. MidCity Place Holdings was advised by Paul Hastings Janofsky & Walker.

The case, filed Oct. 2 in Massachusetts District Court by the Brown Law Firm on behalf of Stephen Austen, accuses certain officers and directors of misleading investors in regard to Symbotic's potential for margin growth by failing to disclose that the company was not equipped to timely deploy its systems or manage expenses through project delays. The case, assigned to U.S. District Judge Nathaniel M. Gorton, is 1:24-cv-12522, Austen v. Cohen et al.

Edmund Polubinski and Marie Killmond of Davis Polk & Wardwell have entered appearances for data platform software development company MongoDB and other defendants in a pending shareholder derivative lawsuit. The action, filed Oct. 7 in New York Southern District Court by the Brown Law Firm, accuses the company's directors and/or officers of falsely expressing confidence in the company’s restructuring of its sales incentive plan and downplaying the severity of decreases in its upfront commitments. The suit was filed Sept. 7 in Wisconsin Western District Court by Levine Eisberner LLC and Siri & Glimstad on behalf of a project manager who claims that he was wrongfully terminated after applying for a religious exemption to the defendant's COVID-19 vaccine mandate. The complaint was filed Sept. 4 in Connecticut District Court by attorney Robert M. Berke on behalf of former employee George Edward Steins, who was arrested and charged with employing an unregistered home improvement salesperson. The complaint alleges that had Sunrun informed the Connecticut Department of Consumer Protection that the plaintiff's employment had ended in 2017 and that he no longer held Sunrun's home improvement contractor license, he would not have been hit with charges, which were dismissed in May 2024.
