CORPORATE
Jones Day corporate partner and European private equity head Michael Nouril advised investment vehicle Concateno on its £64m acquisition of UK diagnostic company Cozart. Bristows advised Cozart, with corporate partner Iain Redford leading.
Weil Gotshal & Manges has advised UK private equity house GMT Communications as the backer of a £62m management buy-out of outdoor advertising company Primesight. Private equity partner Mark Soundy (pictured) led the team. Herbert Smith corporate partner Austin Sweeney advised the seller, Scottish Media Group. Hammonds private equity partners Nick Watson (Leeds) and Mark Robson (London) advised Primesight management.
Slaughter and May corporate partner Nilufer von Bismarck has advised General Electric Company on a recommended offer by its Drilling & Wireline Solutions subsidiary for Sondex. Nabarro partner Graham Stedman advised Sondex on the deal, which values the company at £288.7m.
Norton Rose has advised Domestic & General (D&G) on its £524m takeover by Advent International. Corporate partner Margaret Coltman led the team, which also included partners Mark Bankes and Glenn Hall. Advent turned to corporate partners Chris Bown and Rob Stirling at Freshfields Bruckhaus Deringer. Macfarlanes advised D&G's management team.
Lovells has completed its first deal for UK private hospital operator Ramsay Health Care, with private equity partner Tom Whelan advising on its £193m acquisition of Capio Healthcare UK. Linklaters advised Capio's sellers – Apax and Nordic Capital – on the deal, with private equity partners Ian Bagshaw (pictured) and Carlton Evans leading.
FINANCE
Allen & Overy (A&O) has advised GE Energy Financial Services and DVB Merchant Bank as managed lead arrangers of a $400m (£199m) debt facility for Sevan Drilling. David Smith, partner and head of A&O's international shipping group, led the team. Norwegian firm Bugge Arentz-Hansen & Rasmussen acted for Sevan, led by partner Rolf Johan Ringdal.
DLA Piper has advised HSBC Bank on a £78.8m debt funding, which was partly used to fund the acquisition of investment management company Bestinvest. Banking partner John Cutler (pictured) led the team for DLA Piper. Macfarlanes partner Charles Meek advised 3i on its acquisition of Bestinvest, with K&L Gates corporate partner Kevin Dean advising Bestinvest.
PROJECTS
Wragge & Co has advised John Laing Projects & Developments on a £13m redevelopment project at Aylesbury Vale Parkway station. Construction partner Richard Green and solicitor Catherine Davis led the team for Wragges, while contractor Carillion Rail was advised in-house.
Dickinson Dees has advised the Mid Yorkshire Hospitals NHS Trust on a project, worth around £300m, to fund two new hospitals in Wakefield and Pontefract. The funding came through a public bond issue and the European Investment Bank. Projects partner Tim Care led the team for the Newcastle firm.

Driscoll from Wilmer Cutler Pickering Hale and Dorr have stepped in to represent Symbotic Inc., an A.I.-enabled technology platform that focuses on increasing supply chain efficiency, and other defendants in a pending shareholder derivative lawsuit. The case, filed Oct. 2 in Massachusetts District Court by the Brown Law Firm on behalf of Stephen Austen, accuses certain officers and directors of misleading investors in regard to Symbotic's potential for margin growth by failing to disclose that the company was not equipped to timely deploy its systems or manage expenses through project delays. The case, assigned to U.S. District Judge Nathaniel M. Gorton, is 1:24-cv-12522, Austen v. Cohen et al.

Edmund Polubinski and Marie Killmond of Davis Polk & Wardwell have entered appearances for data platform software development company MongoDB and other defendants in a pending shareholder derivative lawsuit. The action, filed Oct. 7 in New York Southern District Court by the Brown Law Firm, accuses the company's directors and/or officers of falsely expressing confidence in the company’s restructuring of its sales incentive plan and downplaying the severity of decreases in its upfront commitments. The suit was filed Sept. 7 in Wisconsin Western District Court by Levine Eisberner LLC and Siri & Glimstad on behalf of a project manager who claims that he was wrongfully terminated after applying for a religious exemption to the defendant's COVID-19 vaccine mandate. David X. Sullivan, Thomas J. Finn and Gregory A. Hall from McCarter & English have entered appearances for Sunrun Installation Services in a pending civil rights lawsuit. The complaint was filed Sept. 4 in Connecticut District Court by attorney Robert M. Berke on behalf of former employee George Edward Steins, who was arrested and charged with employing an unregistered home improvement salesperson. The complaint alleges that had Sunrun informed the Connecticut Department of Consumer Protection that the plaintiff's employment had ended in 2017 and that he no longer held Sunrun's home improvement contractor license, he would not have been hit with charges, which were dismissed in May 2024.
