Slaughter and May and a number of US firms have won roles on US manufacturing company Colfax Corporation's £1.5bn takeover bid for UK engineering group Charter International.

Slaughters has taken the lead role for Charter on the deal, which is conditional upon regulatory and shareholder approvals. The magic circle firm is fielding a team under London corporate partners Andy Ryde and Robin Ogle.

Shearman & Sterling is providing US law advice to Charter with an inter-disciplinary team of lawyers including London M&A partners Creighton Condon and George Karafotias and New York litigation partners Stephen Fishbein and Alan Goudiss.

The US firm is also providing antitrust advice with a team led by New York competition partner Beau Buffier.

Skadden has taken the lead role for the acquirer, fielding a London-based team under English law chief Michael Hatchard, working alongside corporate partners Shaun Lascelles and Scott Simpson and corporate partner Clive Wells.

White & Case also has a role on the deal, acting for Colfax's financial adviser Deutsche Bank. The firm's team is led by London corporate partners Philip Broke and Gavin Weir.

The announcement comes three months after US manufacturing buyout firm Melrose's £1.3bn offer for Charter was rejected by its board.

The deal, if confirmed, will mark the second major US takeover of a UK company in as many months, after Gibson Dunn & Crutcher and Slaughters recently took lead roles on Hewlett-Packard's £7.1bn takeover bid for Britain's largest software company, Autonomy.
