Kirkland & Ellis is among a trio of law firms advising on barcode printer maker Zebra Technologies' $3.45bn (£2.06bn) purchase of Motorola Solutions' enterprise unit.

The all-cash deal, which is expected to close by the end of the year, will be funded through a mix of cash and new debt.

Kirkland is advising Zebra, with a Chicago-based team including corporate partners Henry Kleeman and Scott Falk, debt finance partner Linda Myers and intellectual property partner Neil Hirshman. The company's financial adviser is Morgan Stanley.

Winston & Strawn is acting for Motorola, fielding a team led by Chicago corporate partner Matt Costigan.

Wachtell Lipton Rosen & Katz is representing Motorola's board of directors, with New York corporate partner David Karp heading up the team. Goldman Sachs & Co and JP Morgan Securities are Motorola's financial advisers.

McDermott Will & Emery is acting for the company on antitrust matters with a team featuring partners Joel Grosberg and Carla Hine in Washington, and Andrea Hamilton in Brussels.

Approximately 4,500 Motorola employees are expected to join Zebra when the deal closes.

Wachtell has represented Motorola on high-profile mandates including Google's mammoth $12.5bn acquisition of Motorola Mobility Holdings. Karp led the team acting for Motorola Mobility, while Cleary Gottlieb Steen & Hamilton was Google's main legal adviser.
