Latham & Watkins and Allen & Overy have landed roles advising on the $3.55bn (£2.73bn) sale of Thomson Reuters' intellectual property and science business to private equity houses Onex and Baring Private Equity Asia.

Thomson Reuters' IP and science business has produced products such as Thomson CompuMark, MarkMonitor, Thomson Reuters Cortellis and Thomson IP Manager. The business has its headquarters in Philadelphia and employs an estimated 4,100 people across 75 offices in 40 countries.

Allen & Overy New York-based partner Peter Harwich is leading the A&O team advising Thomson Reuters. The team also includes antitrust co-head Elaine Johnston and senior counsel Brian Jebb.

Washington DC partner Paul Sheridan and Chicago partner Shaun Hartley are leading Latham's M&A team, which is advising Onex and Baring on the acquisition.

Latham Washington DC partner Adam Kestenbaum is providing advice on benefits and compensation affairs. Tax is being covered by New York partner Lisa Watts, while Steven Betensky, a New York partner, is advising on intellectual property matters.

Jeffrey Chenard, Rachel Sheridan and Shagufa Hossain handled financing issues with antitrust worked on by Marc Williamson and Sven Volcker. Other corporate matters were dealt with by corporate partner, William Schwab.

This deal is the largest transaction Thomson Reuters has done since it acquired Reuters' nearly 10 years ago.
