Paddy Power Betfair

Freshfields Bruckhaus Deringer, Slaughter and May and Jones Day have picked up key roles on the merger of Paddy Power Betfair's owner Flutter and a Canadian gambling rival.

The tie-up of Flutter and Canadian company The Stars Group (TSG) will create a company with a combined value of £3.8 billion, based on last year's revenues for the two gambling giants.

A Freshfields team lead by corporate partner Oliver Lazenby is advising Flutter on the transaction. The team also includes antitrust partners Deirdre Trapp and Alex Potter, finance partner Martin Hutchings, tax partner Peter Clements and employment partner Alice Greenwell.

Other firms advising Flutter are Irish firm Arthur Cox, U.S. outfit Blank Rome, Canadian firm Stikeman Elliot and Australian firm Clayton Utz.

Arthur Cox's team consists of the firm's managing partner Brian O'Gorman, corporate partners Maura McLaughlin and Cian McCourt, and competition partner Richard Ryan.

TSG, meanwhile, is being advised by Slaughters and Jones Day, as well as London boutique firm Cassels and Graydon, Irish firm A&L Goodbody, Canadian and U.S. firm Osler, Canadian firm Hoskin & Harcourt, and Australian outfit Gilbert + Tobin.

Slaughters competition head Philippe Chappatte and competition partner William Turtle are leading for the firm. Jones Day's team is being led by Miami-based M&A partner Lorne Cantor and London M&A partner Leon Ferera, and includes London corporate partners Vica Irani and Killian Kiely, and finance partner Ward Winslow in the firm's Chicago office..

The combined company will be headquartered in Dublin with a primary listing on the London Stock Exchange and a secondary listing on Euronext Dublin, TSG said in a statement.

Paddy Power merged with Betfair back in 2015, on which Arthur Cox and Freshfields took the main advisory roles.

Paddy Power Betfair then turned to the Magic Circle firm again last year during its merger talks with U.S. fantasy sports website FanDuel, with Blank Rome again taking a role.
