It was widely reported how Verizon cut $350 million from its planned acquisition of Yahoo’s operating business following the cyberattacks plaguing Yahoo. That makes the new price tag for the deal at approximately $4.48 billion. What is not as well-known is that cybersecurity may increasingly come up as an issue in many corporate mergers and acquisitions.

“Cybersecurity is a meaningful issue in almost every modern day M&A transaction,” Robert Leclerc, an attorney at King & Spalding, told Legaltech News. The “target company’s cybersecurity and data privacy practices affect the value of the company being acquired, the liabilities the buyer assumes, and the costs the buyer may incur later to remedy any issues or deficiencies.”
