COMPANY PROFILE
Monro Muffler Brake Inc. is a chain of more than 1,000 company-operated car care centers. The company has doubled in size since 2003; in the past three years, it has acquired 14 local chains and more than 250 retail locations. Last year, Monro posted record sales of $831.4 million, up 14 percent.
“We are constantly in hiring mode and always looking for talent,” general counsel Maureen Mulholland said. “At our headquarters [in Rochester, N.Y.], we are hiring to address the overall growth of the company in [human resources] and finance.”
LEGAL TEAM
Mulholland was the first and remains the only in-house lawyer in a two-person legal team (she has an assistant). The work breaks down to 35 percent mergers and acquisitions and commercial transactions; 20 percent securities and compliance; 15 percent contracts; 15 percent real estate; 10 percent employment; and 5 percent litigation management.
OUTSIDE COUNSEL
Mulholland handles most matters in-house, but has used Bond, Schoeneck & King of Syracuse (commercial and employment litigation, mergers and acquisitions); Harter Secrest & Emery of Rochester (securities and executive compensation); Nixon Peabody and Jackson Lewis (employment and litigation); Schulte Roth & Zabel (M&A); and Underberg & Kessler (real estate and M&A). Mulholland looks first for expertise, followed by appropriate fee arrangements and compatibility with Monro. “Law firms continue to be very hungry for work,” she said.
DAILY DUTIES
Mulholland arrives at the office by 8 a.m. and stays as late as 9 p.m., handling emails or conference calls from home.
“As the general counsel of a retail company, I consider myself always available,” she said.

Clark Hill members Vincent Roskovensky and Kevin B. Watson have entered appearances for Architectural Steel and Associated Products in a pending environmental lawsuit. The complaint, filed Aug. 27 in Pennsylvania Eastern District Court by Brodsky & Smith on behalf of Hung Trinh, accuses the defendant of discharging polluted stormwater from its steel facility without a permit in violation of the Clean Water Act.
