Marathon Oil Corp. is the fifth-largest petroleum refiner in the United States and the largest in the Midwest. It engages in exploration, production, oil sands mining and integrated gas, with extensive refining, marketing and transportation operations. The company traces its origins to 1887 as the Ohio Oil Co. It changed its name to Marathon to celebrate its 75th anniversary. Now headquartered in Houston, Marathon operates principally in the United States, Angola, Canada, Equatorial Guinea, Indonesia, Libya, Norway, Poland and the United Kingdom. It has a refining network with nearly 1.2 million barrels per day of crude oil capacity. Marathon-brand gasoline is available at about 4,600 locations featuring mechanical and repair services and convenience stores. The company, ranked No. 41 on the Fortune 1,000 with 2009 revenues of $53.47 billion, employs more than 28,000 people worldwide.
LEGAL TEAM AND OUTSIDE COUNSEL
Marathon’s legal team comprises 150 employees, including 65 attorneys. General Counsel Sylvia Kerrigan’s mantra: “Trust your team.” She aims to perform all the work in-house, barring litigation and certain areas of specialization. When appropriate, Kerrigan turns to a variety of outside firms around the globe. She was reluctant to identify them for fear of slighting any she might omit, explaining that this “is not like the Academy Awards, where you spend 20 minutes thanking your friends.” She reports to President and Chief Executive Officer Clarence Cazalot Jr. Kerrigan’s deputy general counsel is Michael Wilder. Rick Kolencik is senior group counsel for the office of the corporate secretary and Dick Horstman serves as assistant general counsel.
