Reflecting continuing refinement of the jurisprudence of corporate transactions, the Delaware courts have recently issued important rulings on the frequently disputed issues of executive compensation, merger structure and damages awards in “going private” transactions. The cases confirm that Delaware courts will respect the principle that

boards of directors are the managers of corporate affairs, but will nevertheless scrutinize the decisions of directors involved in conflict transactions.
