The $1.2 billion acquisition of a large, employee-owned engineering-services firm in Australia might have seemed like a difficult proposition, but when Jacobs Engineering Group Inc. set its sights on Sinclair Knight Merz Pty. Ltd., it saw past the roadblocks.

“That deal percolated over a long period of time,” said Michael Tyler, who has overseen the legal department’s restructuring since becoming general counsel and senior vice president in July 2013. Jacobs’ acquisition of Sinclair was announced in September 2013 and completed in December 2013. It was facilitated by “a very compatible culture” between the two companies, Tyler said.
