Plaintiff Steven Frisch alleged nonpayment under a consulting agreement for work done as a consultant in assisting with developing defendants’ product and obtaining third-party funding.

Frisch contended that defendant Omar Rivero, a majority member and manager of defendant Likeopedia LLC, negotiated and signed the consulting agreement on Likeopedia’s behalf and that defendant Christopher Findlater, an indirect investor in Likeopedia, was party to the electronic correspondences about the negotiations.
