What were some of your most satisfying successes of the past year, and why? I represented Adobe in its $20 billion Figma acquisition, the largest ever private technology acquisition. The transaction raised unique challenges due to Figma’s rapid growth profile and required innovative structuring to both preserve Figma’s flexibility to issue additional equity to support its continued growth while also facilitating tax-free treatment of the deal. We developed a novel “public company style” consideration structure, with fixed per-share cash and stock merger consideration and a designated pool of equity awards that Figma could grant over time, which allowed us to structure the deal in a tax-efficient manner while also incentivizing Figma to execute on its growth plans.

I also represented Global Payments in a series of strategically important transactions, including its $4 billion acquisition of EVO Payments and sales of its Netspend consumer and gaming solutions businesses and a PIPE from Silver Lake Partners. Three of these transactions were signed on the same day, which required an intense effort and focus, and I helped the client navigate each to a successful closing.
