EventWhat were some of your most satisfying successes of the past year, and why? I represented Adobe in its $20 billion Figma acquisition, the largest ever private technology acquisition. The transaction raised unique challenges due to Figma's rapid growth profile and required innovative structuring to both preserve Figma's flexibility to issue additional equity to support its continued growth while also facilitating tax-free treatment of the deal. We developed a novel "public company style" consideration structure, with fixed per-share cash and stock merger consideration and a designated pool of equity awards that Figma could grant over time, which allowed us to structure the deal in a tax-efficient manner while also incentivizing Figma to execute on its growth plans.
