Ernest Badway, a graduate of Duke University School of Law, is a partner with the firm of Fox Rothschild LLP. He currently represents corporations, limited liability companies, partnerships, and other financial institutions, as well as their officers, directors, executives, registered persons and employees in a wide range of commercial and business litigation. He also advises his clients on officer/director regulation and compliance, corporate governance, and white collar criminal law issues. He has extensive experience representing these entities and individuals in internal investigations and commercial disputes involving litigation and alternative dispute forums, as well as corporate law matters, especially private placements and initial public offerings. He likewise represents these entities and individuals in matters involving securities, corporate issues, pharmaceuticals, intellectual property, real estate, contracts and other business matters. He has extensive experience in the regulatory representation of financial institutions, the creation of same, and also compliance matters.
As a former United States Securities and Exchange Commission, Division of Enforcement attorney, Mr. Badway investigated and prosecuted numerous individuals and entities that violated federal securities laws. He is admitted to practice law in New York, New Jersey, Massachusetts and the District of Columbia, as well as the United States Courts of Appeals for the Second and Third Circuits and the United States District Courts for the Southern and Eastern Districts of New York, and the Districts of Columbia, New Jersey, and Massachusetts. He has also been appointed as a FINRA arbitrator and mediator, an NFA arbitrator, and is a member of the Chartered Institute of Arbitrators. He is also a New Jersey court arbitrator and mediator. He is a member of the American Bar Association’s sections on Litigation and Criminal Justice, where he is co-chair of its subcommittee on the FCPA. He was previously the Treasurer of the New York County Lawyers’ Association. Additionally, he was a past member of its Board of Directors and Committees on Federal Courts and Securities and Exchanges, where he was co-chair of the Securities and Exchanges Committee and served as chair of the Enforcement subcommittee. He is also a member of the Association of the Federal Bar of the State of New Jersey and the New York State Bar Association, where he is a delegate to the House of Delegates.
